Terms of Service for Williamson Machine LLC

Effective Date: January 1, 2025

These Terms of Service (“Agreement”) govern the use of services provided by Williamson Machine LLC (“Company,” “we,” “us,” or “our”), a machine and fabrication shop located at 4723 Edison Ave., Jacksonville, FL 32254. By using our services, you (“Customer,” “you,” or “your”) agree to these terms. If you do not agree to these terms, please do not use our services.

1. Services Provided

Williamson Machine LLC provides a range of machine and fabrication services, including but not limited to:

  • CNC machining
  • Welding and metal fabrication
  • Prototype development and design
  • Custom machining and modifications
  • Repair services
  • Engineering support and consultation

2. Quotes and Pricing

  • Estimates: All quotes provided by Williamson Machine LLC are estimates based on the information provided by the customer. Final pricing may vary depending on the actual work performed.
  • Changes to Scope: Any changes to the scope of work after the initial quote may result in price adjustments. The customer will be notified of any changes in pricing before work is completed.

3. Payment Terms

  • Payment Methods: We accept payment via cash, credit/ debit card, check and certified check.
  • Deposits: A deposit of 50% is required before beginning work. The remaining balance is due upon completion of the project and before the final product is delivered or shipped.
  • Late Payments: Payments not received by the due date may incur a late fee of 10% per month. Work may be delayed or halted if payment is not made in accordance with the agreed terms.

4. Customer Responsibilities

  • Accurate Information: The customer must provide accurate designs, specifications, and requirements to ensure the proper execution of the work. Williamson Machine LLC is not responsible for errors or defects caused by incorrect or incomplete information provided by the customer.
  • Materials: If the customer provides their own materials, they are responsible for ensuring that the materials are suitable for the intended work. Williamson Machine LLC is not liable for any defects or failures in the material supplied by the customer.

5. Intellectual Property

  • Customer-Owned Designs: If the customer provides proprietary designs or intellectual property, the customer retains ownership of those designs. However, the customer grants Williamson Machine LLC a non-exclusive, non-transferable license to use the designs solely for the purpose of performing the services.
  • Work Created by Williamson Machine LLC: Any designs, modifications, or intellectual property created by Williamson Machine LLC as part of the services provided may remain the property of Williamson Machine LLC unless otherwise agreed to in writing. Custom designs or work may be subject to additional agreements.

6. Liability and Disclaimers

  • Limitation of Liability: Williamson Machine LLC’s liability for any damages or losses arising from the use of our services is limited to the total amount paid by the customer for the services related to the specific project.
  • Indemnification: The customer agrees to indemnify, defend, and hold harmless Williamson Machine LLC from any claims, damages, or liabilities arising from the customer’s use of the services or materials provided by the customer.
  • No Warranty on Material Defects: While Williamson Machine LLC strives to maintain high-quality standards, we cannot be held responsible for defects in materials provided by the customer or by external suppliers.

7. Warranty

Williamson Machine LLC offers a [insert duration, e.g., 30-day] warranty on labor and workmanship for all services provided. This warranty covers defects in work performed but does not cover damage due to misuse, negligence, or failure to maintain the product. Warranty claims must be made within the stated warranty period.

8. Delivery and Risk of Loss

  • Delivery Terms: The customer will be responsible for shipping and handling charges unless otherwise specified. Delivery dates provided are estimates and may vary based on project scope and material availability.
  • Risk of Loss: The risk of loss or damage to the finished product transfers to the customer once the product is delivered or picked up.

9. Termination

Either party may terminate this Agreement with written notice to the other party. If the customer terminates the Agreement before completion of the work, the customer is responsible for payment for all work completed up to the date of termination.

10. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through mediation or arbitration in Jacksonville, FL. This Agreement will be governed by the laws of the State of Florida.

11. Amendments

Williamson Machine LLC reserves the right to modify or update these Terms of Service at any time. Customers will be notified of any significant changes, and such changes will apply to any services provided after the modification date.
